Terms of Service

1. Agreement to Terms
By accessing or using CENTR.dev's services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services.
2. Services
CENTR.dev provides custom software development, consulting, and related technology services. The specific scope, deliverables, and terms for each engagement will be outlined in a separate Statement of Work or Service Agreement.
3. Intellectual Property
Unless otherwise specified in a separate agreement:
- Custom code developed for clients becomes the client's property upon full payment
- Pre-existing tools, libraries, and frameworks remain the property of their respective owners
- CENTR.dev retains the right to use general knowledge and skills gained during engagements
4. Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur interest charges and suspension of services.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of any agreement for a period of two years.
6. Limitation of Liability
CENTR.dev shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amounts paid by you for the specific services giving rise to the claim.
7. Warranties
We warrant that our services will be performed in a professional and workmanlike manner. We do not warrant that services will be uninterrupted or error-free. All other warranties, express or implied, are disclaimed to the fullest extent permitted by law.
8. Termination
Either party may terminate an engagement with 30 days written notice. Upon termination, the client shall pay for all work completed up to the termination date. CENTR.dev will deliver all completed work and client materials.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new terms on this page with an updated revision date.
